Optimize360™ Intelligence Platform Acceptable Use Policy

This Acceptable Use Policy (this “AUP”) governs your access to and use of Brandpoint’s proprietary Optimize360™ Intelligence Platform and its available features (collectively, “Intelligence Platform”).

Your company or employer may be party to an agreement with Brandpoint for use of the Intelligence Platform. This AUP supplements that agreement, and, in the event of any conflict, such employer or company agreement controls. By interacting with the Intelligence Platform in any way, or by otherwise acknowledging this policy through a button, checkbox or similar, you hereby agree to comply with this AUP and be bound hereby. If you do not want to agree to this AUP, you must not access or use the Intelligence Platform.

Platform Content

You acknowledge that the content of the Intelligence Platform (with the limited exceptions of Client Data and Outputs that are produced by third-party large-language models specifically in response to your prompts and input) is the intellectual property and confidential information of Brandpoint. Such content is provided under license to your company or employer; all rights are reserved.

Prohibited Uses

You may use the Intelligence Platform only for lawful purposes and in accordance with this AUP. You agree not to use the Intelligence Platform:

  • In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States or other countries or the design, development, deployment, implementation, operation and use of AI technologies).
  • To send, knowingly receive, upload, download, use or re-use any material which violates any laws or the rights of any individual or entity established in any jurisdiction.
  • To impersonate or attempt to impersonate Brandpoint, a Brandpoint employee, another user or any other person or entity.
  • In any way that you know or should know infringes or is likely to infringe upon Brandpoint’s patent, trademark, trade secret, copyright or other intellectual property rights.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Intelligence Platform, or which may harm Brandpoint or users of the Intelligence Platform or expose them to liability.
  • With any robot, spider or other automatic device, process or means to access the Intelligence Platform for any purpose, including monitoring or copying the Intelligence Platform’s traffic, resources or proprietary technology.
  • In any way that introduces any viruses, trojan horses, worms, logic bombs or other software or material that is malicious or technologically harmful.
  • To gain unauthorized access to, interfere with, damage or disrupt any parts of the Intelligence Platform or any server, computer, database or other resource or element connected to the Intelligence Platform.

Monitoring and Enforcement

Brandpoint, in its sole discretion, will determine whether your conduct is in compliance with this AUP. Except as otherwise prohibited by our agreement with your employer or company, we have the right to:

  • Monitor your use of the Intelligence Platform for any purpose in our sole discretion and as we see fit.
  • Take any action we deem necessary or appropriate in our sole discretion if we believe a user's conduct violates this AUP or any other agreement(s) with Brandpoint, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of Brandpoint or the public, or could create liability for Brandpoint.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Intelligence Platform.
  • Terminate or suspend your access to all or part of the Intelligence Platform for any violation of this AUP.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone who accesses or uses the Intelligence Platform, and you agree that we can take any of the actions described in this AUP without any further responsibility or liability to you.
